BallerCam Terms of Sale

These Terms of Sale ("Terms of Sale") apply to all purchases of BallerCam hardware products and accessories (collectively, "BallerCam devices" or "Products") from Baller, Inc. ("BallerTV", "we", "us", or "our") through our website at www.ballercam.com or through authorized resellers. "BallerCam devices" includes the BallerCam device (containing lens, cooling system, and external battery), mounting accessories, and any other BallerCam-branded hardware. By placing an order for Products, you agree to be bound by these Terms of Sale. Your use of BallerCam products and related services is also governed by our Terms of Use, which are incorporated herein by reference. BallerCam is designed to be used with a compatible iPhone and the BallerCam iOS app. A paid subscription is not required for the Products to function. However, certain features, storage amounts, services, content access, or digital goods may be offered only under certain plans or may require payment.

1. ORDER ACCEPTANCE

Your receipt of an electronic or other form of order confirmation does not signify our acceptance of your order, nor does it constitute confirmation of our offer to sell. We reserve the right at any time after receipt of your order to accept or decline your order for any reason. We may require additional verifications or information before accepting any order.

1.1 Service Access; Plans and Paid Offerings

IMPORTANT: A paid subscription is not required for BallerCam devices to function with the BallerCam app. To use BallerCam devices with your iPhone, you must have (a) a compatible iPhone, (b) the BallerCam iOS app, and (c) a BallerCam account. We may offer access to BallerCam services under one or more plans, which may include a no-cost plan (the "Base Plan") and paid plans, subscriptions, add-ons, and/or per-item purchases. Unless expressly stated at checkout or in writing by us, the hardware purchase does not include any paid subscription.

Certain features, storage amounts, functionality, services, support levels, or content access may be limited, may require payment, or may be made available only under certain plans. We may change, introduce, or discontinue plans or offerings from time to time on a going-forward basis, as described in Section 12.

The services may be supported through paid offerings and may also display advertising, promotions, or sponsored content. Certain features, functionality, or access may require fees (including subscriptions or one-time purchases) and may be subject to limitations or timeframes.

1.2 Device Compatibility and Performance

Device Compatibility: BallerCam devices are compatible with iPhone 13 Pro, iPhone 13 Pro Max, all iPhone 14 models, and newer iPhone models. Please check our website for the complete list of compatible devices before purchasing. We do not guarantee compatibility with iPhone 13, iPhone 13 mini, older iPhone models, or future iPhone releases that may have different dimensions or configurations.

Performance Notice: The performance of the BallerCam system, including video quality, frame rate, and streaming capabilities, depends on your iPhone's processing power, available storage, and network conditions. Devices with newer processors and more available storage will generally provide better performance.

1.3 Product Safety and Proper Use

IMPORTANT SAFETY INFORMATION:

  • You recognize that the Products may only be used for their intended purpose: recording and streaming of sports events.

  • You recognize that the setup of the Products shall be conducted in accordance with the Important Safety Information document and user manuals provided with the Products and available at www.ballercam.com/safety.

  • You recognize that the Products must be handled with due care taking into consideration that the Products consist of technical components and batteries, which by nature are fragile, and always in accordance with the relevant specifications and instructions.

  • You are solely responsible for setting up the Products and for taking the necessary precautions to ensure that the Products are safely installed. BallerTV assumes no liability for physical damage to persons or property (including the Products themselves) due to your use, setup, or installation of the Products.

  • The Products contain lithium-ion batteries. Improper use may result in fire, explosion, or other hazards.

  • You must follow all safety warnings and instructions provided with the Products

  • When using with tripods or mounts, you are responsible for ensuring proper installation and stability.

  • Keep Products away from children.

1.4 Acknowledgment of Risk

By purchasing and using BallerCam products, you acknowledge that there are inherent risks associated with the use of electronic devices, lithium-ion batteries, and mounting equipment. You understand and agree that such risks include, but are not limited to, property damage, personal injury, and in extreme cases, death. You acknowledge that you have read and understood the Important Safety Information document (available at www.ballercam.com/safety) and agree to use the Products at your own risk.

2. PLUS (+) PLANS - SUBSCRIPTION PLANS WITH HARDWARE

Plus (+) Plans may be offered from time to time and may not be available for purchase at all times. If you are currently enrolled in a Plus (+) Plan, the terms in this Section 2 apply to you.

2.1 Hardware Inclusion and Commitment

Every Plus (+) Plan subscription includes a BallerCam device at no additional hardware cost. Monthly Plus (+) Plans require a minimum 12-month commitment period, after which ownership transfers to you. Yearly Plus (+) Plans convey immediate device ownership upon payment.

2.2 Device Ownership Terms

Yearly Plus (+) Plans: You own the BallerCam device immediately upon payment of your annual subscription. The 30-day satisfaction guarantee in Section 6.1 applies to your device purchase.


Monthly Plus (+) Plans: After completing the full 12-month commitment, ownership of the BallerCam device transfers to you. If you cancel before completing the full 12-month commitment or if your payment fails, you must return the BallerCam device within thirty (30) days using a prepaid return label we provide. If you fail to return the device within this period, return it damaged beyond normal wear and tear, or cannot return it due to loss, theft, or damage, you will be automatically charged $299 minus what you have already paid toward your 12-month plan. If your device requires replacement due to manufacturing defect during your commitment period, the replacement does not restart your 12-month ownership countdown. The 30-day satisfaction guarantee in Section 6.1 also applies during your first 30 days.

2.3 Hardware Upgrades

Active Plus (+) Plan subscribers are eligible for free hardware upgrades when new BallerCam versions are released. To qualify for a free upgrade, you must have either (a) twelve (12) months or more remaining on your current Plus (+) Plan, or (b) agree to extend your subscription for a new 12-month term. Each upgrade received begins a new 12-month commitment period, and we may require return of your current device using a prepaid return label before shipping your upgrade.

3. FAIR USE POLICY

3.1 Intended Use and Service Access

This Fair Use Policy applies to BallerCam service access under any plan or offering, including the Base Plan (if offered), paid plans, and Plus (+) Plans (if applicable), and is designed to ensure equitable service access for all users. BallerCam is intended for filming sports practices, games, tournaments, and related athletic activities by families, teams, clubs, and schools. It is not intended for continuous surveillance, facility monitoring, or non-sports applications that would place sustained demands on our infrastructure inconsistent with the service's design.

3.2 Unlimited Plans

For plans designated as "Unlimited," there is no specified monthly filming hour limit for normal sports use. You may film as many practices, games, and events as needed for typical recreational or competitive athletic activities. However, all plans remain subject to:

  • Storage limits as specified on our pricing page and displayed in your account dashboard;

  • Technical constraints of the service, including network capacity, processing resources, and device capabilities; and

  • The Fair Use standards described in this Section 3.

3.3 Excessive or Abusive Use

While we do not impose metered monthly filming limits for typical users, we reserve the right to identify and address usage patterns that constitute excessive or abusive use. Excessive or abusive use may include, but is not limited to:

For consumer plans designated as "Unlimited," usage that exceeds two hundred fifty (250) hours of streaming in a single calendar month, or two thousand five hundred (2,500) total hours of archived video per account, is generally considered to fall outside normal Fair Use under this policy. Such usage levels, particularly when sustained over time, may be treated as excessive or abusive use under this Section 3.

  • Sustained usage that materially exceeds typical customers on similar plans, such as consistently being among the heaviest users over multiple consecutive months in a manner that degrades service performance for others;

  • Continuous or automated non-sports streaming, including using BallerCam devices for security cameras, facility surveillance, or other 24/7 monitoring purposes;

  • Commercial exploitation or resale of the service, such as operating a paid streaming service for third parties, systematically redistributing content to external platforms, or using a consumer plan for commercial purposes without a separate commercial agreement with us;

  • Circumventing technical or account limits, including sharing credentials to enable use across multiple organizations, simultaneous streaming from multiple devices on a single account, or other methods designed to avoid plan restrictions; or

  • Any other usage pattern that, in our reasonable judgment, is inconsistent with the intended purpose of the service or materially interferes with service availability or performance for other users.

3.4 Single-Device and Concurrency Limits

Unless otherwise specified in a custom or enterprise agreement with us, each account or plan is intended for use with one (1) BallerCam device at a time. You may not use a single account or plan simultaneously across multiple devices or share credentials to enable multiple concurrent streams from different devices. We reserve the right to monitor usage patterns and take appropriate action against accounts that violate these limits.

3.5 Remedies and Enforcement

If we determine that your usage violates this Fair Use Policy or constitutes excessive or abusive use, we may take one or more of the following actions:

  • Contact you to discuss your usage patterns and recommend appropriate plan changes, add-ons, or upgrades;

  • Limit or throttle new streams, uploads, or video processing to manage service load;

  • Adjust video quality or impose temporary restrictions on certain features;

  • Suspend or terminate your account for serious or repeated violations.

Where practical and appropriate, we will attempt to notify you and provide an opportunity to remedy the situation before materially limiting your service access. However, we reserve the right to take immediate action, including suspension or termination, in cases of severe abuse, fraudulent activity, or violations that materially impact service availability for other users.

3.6 Policy Modifications

We reserve the right to monitor usage across our user base and to modify storage limits or other technical parameters displayed on our pricing page and in your account dashboard as necessary to maintain service quality and equitable access for all users, consistent with the modification terms in Section 12.

4. PRICING AND PAYMENT

4.1 Prices

All prices are shown in U.S. Dollars and are subject to change without notice. Prices do not include applicable sales taxes, VAT, duties, or other governmental charges, which will be added to your total where applicable.

4.2 Payment

Payment is due at the time of order. We accept major credit cards and other payment methods as displayed on our website. You represent and warrant that you have the legal right to use any payment method you provide to us.

4.3 Sales Tax

Sales tax will be applied to orders shipped to addresses within states where we have a legal obligation to collect sales tax. The tax rate applied will be based on the destination address and current tax rates at the time of purchase.

5. SHIPPING AND DELIVERY

5.1 Shipping Methods

We offer various shipping methods. Shipping costs and estimated delivery times will be displayed at checkout.

5.2 Risk of Loss

All purchases of Products are made pursuant to a shipment contract. This means that the risk of loss and title for Products pass to you upon our delivery to the carrier. We are not responsible for delays or damage caused by the carrier.

5.3 International Shipping

For international orders, you are responsible for all customs duties, import taxes, and brokerage fees. These charges are not included in the product price or shipping costs. We are not responsible for delays due to customs processing.

6. RETURNS AND REFUNDS

6.1 30-Day Satisfaction Guarantee

All Customers: We offer a 30-day risk-free satisfaction guarantee on all BallerCam devices. You may return BallerCam devices in like-new condition within 30 days of delivery for a full refund if you are not completely satisfied. We will provide a prepaid return shipping label for your return. For other accessories such as tripods, mounts, and bags, the same 30-day satisfaction guarantee applies, though you will be responsible for return shipping costs.

Plus (+) Plan Subscribers: After the initial 30-day satisfaction guarantee period, device return requirements are governed by the specific terms in Section 2.2 above, not this general return policy.

Standard Hardware Purchases: Products must be returned in their original packaging with all included accessories, documentation, and components. Please note that the Products require a compatible iPhone, the BallerCam app, and a BallerCam account. Incompatibility with non-supported iPhone models (including iPhone 13, iPhone 13 mini, or older models) is not considered a defect if the compatible models were clearly stated at the time of purchase. Network conditions, venue connectivity, and device specifications may affect livestreaming performance and are not considered defects.

6.2 Return Process

To initiate a return, contact our support team at support@ballercam.com to obtain a Return Merchandise Authorization (RMA) number. Products returned without an RMA number may be refused.

6.3 Return Shipping

For returns outside the 30-day satisfaction guarantee period and for accessories (tripods, mounts, bags, etc.), the cost of return shipping will be deducted from your refund for non-defective returns. For defective products, we will provide a prepaid return shipping label.

6.4 Refund Processing

Refunds will be processed within 10 business days after we receive and inspect the returned Product. Refunds will be issued to the original payment method.

6.5 Non-Returnable Items

Products that show signs of use, damage, or missing components may not be eligible for return or may be subject to a restocking fee.

7. WARRANTY

Products are covered by our limited warranty as described in our separate Warranty Policy, which is incorporated into these Terms of Sale by reference. Please review the Warranty Policy for details about warranty coverage, exclusions, and claim procedures.

8. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BALLERTV BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR PURCHASE OR USE OF PRODUCTS, INCLUDING BUT NOT LIMITED TO PERFORMANCE VARIATIONS DUE TO DEVICE SPECIFICATIONS OR COMPATIBILITY ISSUES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE PURCHASE PRICE OF THE PRODUCT.

Where required by mandatory applicable law, the above limitations and exclusions shall not apply (a) in case of willful misconduct or gross negligence, (b) in the event of death or bodily injury, or (c) if and to the extent mandatory law provides otherwise.

9. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless BallerTV and its officers, directors, employees, consultants, affiliates, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees and costs, arising out of any third-party claim due to or arising out of: (a) your use, setup, or installation of the Products; (b) your violation of these Terms of Sale; (c) any injury to persons or damage to property caused by or related to your use of the Products; or (d) your failure to comply with applicable laws, regulations, or safety instructions.

10. EXPORT COMPLIANCE

You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce. You represent and warrant that you are not located in any embargoed country or prohibited from receiving Products under applicable laws.

11. PRIVACY

Your use of our website and purchase of Products is subject to our Privacy Policy, which is incorporated into these Terms of Sale by reference.

12. MODIFICATIONS

BALLERTV RESERVES THE RIGHT TO UPDATE OR MODIFY THE TERMS ON A GOING-FORWARD BASIS AT ANY TIME. Changes will be effective: (a) 30 days after BallerTV provides notice of the changes, whether such notice is provided through the Service, is sent to the e-mail address associated with your account, or otherwise; or (b) when you opt-in or otherwise agree to the changes or a version of these Terms incorporating the changes, whichever comes first. Please check these Terms periodically for changes. It is your responsibility to keep your email address up to date for notices from BallerTV and to regularly review these Terms. If a change to these Terms materially modifies your rights or obligations, you may be required to accept the modified Terms in order to continue to use or purchase Products.

13. GOVERNING LAW AND DISPUTES

These Terms of Sale shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms of Sale or your purchase of Products shall be resolved in accordance with the dispute resolution provisions in our Terms of Use.

14. ENTIRE AGREEMENT

These Terms of Sale, together with our Terms of Use, Privacy Policy, and Warranty Policy, constitute the entire agreement between you and BallerTV regarding the purchase of Products and supersede all prior or contemporaneous communications and proposals.
